This Agreement is made between Stonebank Real Estate Ltd. (Disclosing Party) and the Recipient regarding potential collaboration on the Property.
"Confidential Information" means information relating to Stonebank Real Estate Ltd., its partners, agreements, the vendor, and third parties that Stonebank must treat as confidential.
Recipient shall maintain the confidentiality of Confidential Information using reasonable care (same degree of care as for its own similar information) during the term of this Agreement and for one (1) year after termination.
Recipient may disclose only to its lawyer and accountant ("Representatives"), provided each Representative is bound by this Agreement. Recipient is liable for any breach by itself or its Representatives. No other disclosure is permitted.
Recipient shall not, directly or indirectly, circumvent Stonebank Real Estate Ltd. regarding the Transaction, including implementing any part of it. Recipient shall not receive any remuneration without Stonebank's prior written consent on terms satisfactory to Stonebank in its sole discretion.
No communication of any kind shall occur between Recipient (or Representatives) and the vendor without Stonebank's direct involvement. Any breach by Recipient or Representatives is a breach of this Agreement.
This Agreement has a term of two (2) years from the date of execution. It is governed by the laws of Ontario. Parties consent to the exclusive jurisdiction of Ontario provincial and Canadian federal courts located in Ontario.
Recipient acknowledges that damages may be inadequate for breach; Disclosing Party is entitled to injunctive relief in addition to other remedies. The prevailing party in any enforcement action is entitled to reasonable legal fees.
